Terms and Conditions for Duti

Welcome to Duti ("Company," "we," "us"). These Terms of Service ("Terms") govern your access to and use of our website, https://myduti.com (the "Site"), and the services provided therein (the "Services"). By accessing or using the Site and Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or Services.

1. Description of Services

Duti is a platform designed to help you manage your savings through participation in Duti Circles—online groups that facilitate a Rotating Savings and Credit Association (ROSCA) model. Our Services allow you to:

• Track your savings
• Create and join Duti Circles
• Facilitate the secure movement of funds related to your savings activities

Please note that Duti is not a financial institution. The processing and transfer of funds are performed by our designated third-party financial service providers.

2. Nature of Member Contributions — Voluntary Gifts

(a) **Voluntary Gifts Between Members.** Each contribution you make to a Duti Circle is a **separate, voluntary, irrevocable gift** from you directly to the recipient member(s) of that round, made out of goodwill and mutual support for your fellow circle members. Each round's contribution constitutes an independent gift transaction. No contribution is a deposit with, investment in, loan to, or debt owed by Jhadruk Inc. Jhadruk Inc is not a party to any gift exchange between members.

(b) **Right to Cease Contributions.** You may stop making gift contributions at any time. Because all contributions are voluntary gifts, no member has a legal obligation to continue contributing. However, ceasing contributions will result in removal from the circle, potential suspension or termination of your Duti account, and prohibition from joining future DutiCircles.

(c) **Contribution Commitment Pledges.** Following receipt of a gift distribution, members may voluntarily sign a Contribution Commitment Pledge, affirming their intent to continue making gift contributions for the remainder of the cycle. Co-guarantors may voluntarily sign a Contribution Assurance Pledge, affirming their intent to make their own gift contributions if the recipient stops. These pledges reflect voluntary commitments and do not create debt obligations. Non-fulfillment of a pledge results in membership consequences (circle removal, account suspension, loss of future eligibility) — not debt collection, credit bureau reporting, or legal action for recovery of funds.

(d) **No Interest, Premium, or Profit.** Duti Circles are designed for cash-flow management and disciplined saving. Members agree **no interest, dividend, or other investment return is promised or expected**. No member will ever receive more than the total gift contributions made by other members in their round (minus any applicable platform technology fee). The optional bidding feature allows members to bid for timing preference in receiving their gift distribution; a bid reduces only the bidding recipient's distribution amount. The bid amount is not paid to any other member and does not generate profit for any participant.

(e) **Member-to-Member Risk.** Because contributions are voluntary gifts between participants, you understand and accept the risk that other members may cease contributing. Jhadruk Inc has no obligation to ensure contributions are made, to guarantee gift distributions, or to recover funds on your behalf.

(f) **Tax Matters.** Jhadruk Inc does **not** give tax advice. You are solely responsible for determining and fulfilling any tax obligations — including gift-tax filings (IRS Form 709 if applicable) or other information returns — that may arise from gifts you make or receive through a Circle. Under current IRS rules, gifts below the annual exclusion amount ($19,000 per recipient per year for 2025) generally do not require a gift tax return. Consult a qualified tax professional for advice specific to your situation.

(g) **Recordkeeping.** Duti provides ledgers showing who sent and received each contribution. These records are supplied **as a convenience only**; you should retain your own copies for tax or legal purposes.

(h) **Regulatory Status.** Jhadruk Inc is **not** a bank, money transmitter, broker-dealer, investment adviser, or charity. Duti is a technology platform that provides circle management, recordkeeping, and communication tools. All fund transfers are initiated by members and processed by our designated third-party financial service providers (see Section 7).

3. Acceptance of Terms

By accessing or using our Site and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please discontinue use of the Site and Services immediately.

4. Eligibility and Registration
----------------------------
• Eligibility: You must be at least 18 years old and a U.S. citizen to register for and use our Services.

• Registration & Verification: During the account creation process, you will be required to provide personal information (including your name, email address, and payment details) and complete identity verification through our partner's KYC program.

• Accuracy: You agree to provide accurate, complete, and updated information when creating your account.

5. Account Security and Ownership

• Security: You are responsible for safeguarding your account credentials. All activities that occur under your account are your responsibility. Please notify us immediately if you suspect any unauthorized use of your account.

• Software Ownership: Your use of the Site and Services does not confer any ownership rights in the underlying software or platform, which remain the exclusive property of Jhadruk Inc.

6. Electronic Communications and E-Sign Consent

By creating an account and using our Services, you agree to receive all communications, disclosures, notices, and other information ("Communications") from us electronically. This includes but is not limited to agreements, privacy policies, payment authorizations, and account statements. To ensure you can access these Communications, you must:

• Consent to our E-Sign Disclosure and Agreement available at https://myduti.com/esign
• Maintain a valid email address and update it promptly if it changes
• Have the necessary hardware and software to access electronic Communications

You may withdraw your consent to electronic Communications as described in our E-Sign Disclosure, but this may limit or terminate your ability to use our Services.

7. Payment Provider

Duti DOES NOT HOLD YOUR FUNDS OR PROCESS PAYMENTS. We are not a bank, payment institution, money transmitter, or money service business. In order to use the payment functionality of the Services, you must open an account with our designated payment service providers (such as Sila and Priority Bank) and accept the applicable terms of service and privacy policies provided by these providers. Any funds held or transferred through your account(s) with these providers are managed by their respective financial institution partners, as described in their own terms.

You authorize Jhadruk Inc to share with these payment service providers your personal information—including your full name, date of birth, Social Security number, physical address, email address, and financial information. You are responsible for ensuring that the information you provide is accurate and complete. You understand that you will access and manage your payment provider account(s) through the Duti platform, and that notifications regarding your payment provider account activity may be sent by us on behalf of these providers.

You may withdraw your consent for us to use and share your information with our payment service providers at any time by contacting us at [support@myduti.jhadruk.com]. Upon such withdrawal, you will no longer be able to access or use the payment functionality of the Services. In such cases, you may request a refund by contacting us at [support@myduti.jhadruk.com].

8. Platform Technology Fees

General Use: There are no fees for the general use of the Duti platform's core features.
Platform Service Fee: When you participate in a Duti Circle, a platform technology fee per round (typically ranging from 3% to 5%) will be applied. This fee covers the use of Duti's circle management technology, including contribution tracking, scheduling, notifications, digital signature management, recordkeeping, and member communications. This fee is charged for use of the Duti software platform and is not a fee for the transfer or movement of funds.
Additional Fees: Additional fees may be incurred if, for example, an ACH transfer is denied and refunded. Such fees are assessed by the third-party payment processor, not by Duti.
Premium Features: Jhadruk Inc reserves the right to introduce and charge fees for premium features, including but not limited to advanced analytics, reporting tools, and business intelligence services. Such features, if introduced, may be offered on a subscription basis or through other pricing models at our discretion.
Fee Changes: Jhadruk Inc reserves the right to modify our fee structure at its sole discretion. Any changes will be communicated to you via email.

9. User Data and Privacy

Personal Data: We collect personal information, including your name, email address, and payment details.
Non-Personal Data: We also collect non-personal information, such as web cookies.
Data Processing by Plaid: Duti uses Plaid Inc. ("Plaid") to gather your data from financial institutions. By using the Services, you grant Duti and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from your relevant financial institution. You agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid end user privacy policy.

10. Intellectual Property

Ownership: All content, software, and materials on the Duti platform are the exclusive property of Jhadruk Inc.
User-Generated Content: Although the platform currently does not support user-generated content ("UGC"), should this feature be introduced in the future, any such content may be deemed the property of Jhadruk Inc.
No Transfer of Rights: Your use of our Services does not grant you any rights to our intellectual property.

11. Restrictions on Use

You agree not to:

• Use the Services for any unlawful or unauthorized purpose.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of our software.
• Interfere with or disrupt the operation or security of the Site or Services.
• Engage in any activity that could harm or overburden our servers or networks.
• Violate any applicable laws or regulations.

12. Non‑Transferability of Circle Membership

Your position in any Duti Circle is personal to you.
• **No Sale or Assignment.** You may not sell, pledge, assign, gift, or otherwise transfer your spot in a Duti Circle to anyone else, whether for consideration or not.
• **Void Transfers.** Any attempted transfer is null and void and may result in immediate removal from the Circle and/or suspension of your account at our sole discretion.
• **Leaving a Circle.** If you wish to exit a Circle, you must follow the withdrawal rules set by that Circle's administrator and our platform policies.

13. Disclaimers and Limitation of Liability

"As Is" Basis: The Duti platform and Services are provided on an "as is" and "as available" basis without any warranties, express or implied.
No Financial Advice: Jhadruk Inc does not provide financial advice, and the Services should not be construed as such.
Limitation of Liability: To the fullest extent permitted by law, Jhadruk Inc, its affiliates, and our third-party partners shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Services. In no event shall our total aggregate liability to you exceed the greater of (a) the total platform technology fees you have paid to Jhadruk Inc during the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00).
Member-to-Member Contributions: Jhadruk Inc is not responsible for the acts or omissions of other circle members, including any member's decision to cease making voluntary gift contributions. The platform facilitates circle management technology but does not guarantee that any member will make or continue making contributions.

14. Tax Disclaimer (No Tax Advice)

Jhadruk Inc and the Duti platform **do not provide tax advice**. You are solely responsible for determining, reporting, and paying any federal, state, or local taxes that may arise from your participation in Duti Circles or other use of the Services. If you have questions about tax obligations, consult a qualified tax professional. Jhadruk Inc shall not be liable for any tax consequences or penalties stemming from your failure to obtain proper advice.

15. Indemnification

You agree to indemnify, defend, and hold harmless Jhadruk Inc, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any rights of any third party.

16. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles.
Dispute Resolution: Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in New York, New York, or, at your election, via telephone or videoconference. The AAA's rules and fee schedules are available at www.adr.org. For claims of $10,000 or less, Jhadruk Inc will pay all AAA filing, administration, and arbitrator fees. For claims above $10,000, fees shall be allocated in accordance with the AAA Consumer Arbitration Rules.
JURY TRIAL WAIVER: BY USING OUR SERVICES, YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY.
CLASS ACTION WAIVER: You agree that any dispute shall be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding. If this class action waiver is found to be unenforceable as to a particular claim, then that claim (and only that claim) shall be severed from arbitration and may be brought in court.
Small Claims Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.
Injunctive Relief: Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction located in New York, New York, to protect its intellectual property rights or to prevent irreparable harm.

17. Modifications and Updates

Jhadruk Inc reserves the right to modify or update these Terms at any time in its sole discretion. If we make material changes to these Terms, we will notify you by email at the address provided during registration. Your continued use of the Services following such modifications constitutes your acceptance of the updated Terms.

18. Miscellaneous
----------------------------
Access via Web Platform: The Duti platform is currently available solely as a web application accessible through standard web browsers (e.g., Safari, Chrome). Any future mobile applications will be subject to these Terms and may include additional provisions.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jhadruk Inc regarding your use of the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Failure by Jhadruk Inc to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
